Terms of Use

1. Agreement
These Terms of Use ("Terms") govern access to and use of the Ultiwrite platform and related services (the "Service"), operated by DWS OFFSHORE FUND dba Ultiwrite ("Ultiwrite," "we," "us"). By accessing the Service you agree to these Terms on behalf of the organization you represent. If you do not agree, do not access the Service.
The Service is currently provided on a pilot-stage, provisioned-access basis to approved business organizations. Access is granted at our discretion and may be limited, suspended, or revoked.
2. Permitted Use
You may use the Service only for legitimate business underwriting, merchant-risk, compliance, portfolio-monitoring, diligence, or related purposes, and only in compliance with applicable law, payment-network rules, and your sponsor-bank requirements.
You agree not to:
- reverse engineer, probe, or attempt to reconstruct the Service's scoring logic, weights, or models;
- submit data you are not authorized to process, or any prohibited consumer-sensitive data;
- resell, sublicense, or expose the Service or its outputs to unauthorized third parties;
- use the Service to make automated adverse decisions about consumers; or
- interfere with, overload, or circumvent any security or access control of the Service.
3. Nature of Outputs — Advisory Only
Ultiwrite is an underwriting-support and merchant-risk intelligence tool. Its outputs are probabilistic analytical indicators intended to support human review. They are not final underwriting decisions, not a consumer report under the Fair Credit Reporting Act, and not a KYC/KYB determination.
Final approval, decline, monitoring, reserve, funding, compliance, and termination decisions remain solely with you and must follow your own policies, sponsor-bank requirements, network rules, and applicable law. You are responsible for independently validating findings before acting on them.
4. AI and Automated Analysis Disclaimer
The Service uses automated analysis and AI-assisted components to classify business activity, extract evidence, and generate reason codes and summaries. These components can produce incomplete or incorrect results. Outputs require human judgment and should not be relied upon as the sole basis for any decision.
5. Customer Data and Confidentiality
You retain ownership of the data you submit. You grant us a limited license to process that data to provide the Service, including generating evidence records, reason codes, and reports. Our handling of data is described in our Privacy Policy.
The Service, including its analytics, scoring methodology, reason-code framework, and interfaces, is our confidential and proprietary property. You agree not to disclose non-public details of the Service or its methodology.
6. No Warranty
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that outputs are accurate, complete, or error-free.
7. Limitation of Liability
To the maximum extent permitted by law, Ultiwrite will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss arising from decisions made in reliance on the Service. Our aggregate liability for any claim is limited to the fees you paid for the Service in the three months preceding the claim, or, for pilot/no-fee access, one hundred U.S. dollars (US$100).
8. Changes and Termination
We may modify these Terms or the Service at any time. Continued use after changes constitutes acceptance. We may suspend or terminate access at our discretion, including for violation of these Terms.
